1. Agreement to Terms

By accessing or using NovaHQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts under Australian law to use the Service. By registering, you represent that you meet these requirements.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

You are responsible for the accuracy of the business information you provide during onboarding and for keeping it up to date.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any Australian law
• Upload, store or transmit viruses, malware or harmful code
• Attempt to gain unauthorised access to other users' data or the Service's systems
• Use the Service to send spam, unsolicited communications or abusive content
• Reverse engineer, decompile or disassemble any part of the Service
• Resell or sublicense access to the Service without written permission

5. Subscriptions and Billing

Paid plans are billed on a monthly or annual basis, depending on your selected billing cadence. A 14-day free trial is available for new customers — no credit card is required to start a trial.

You can upgrade, downgrade or cancel your subscription at any time. Changes take effect at the end of your current billing period. Refunds are issued at our discretion in accordance with Australian consumer law.

All prices are in Australian Dollars (AUD) and include GST where applicable.

6. Free Trial

The 14-day free trial provides full access to the platform for evaluation purposes. At the end of the trial period, your account will be transitioned to a paid plan only if you have selected one and provided payment details. If no plan is selected, trial access will end.

7. Your Data

You retain ownership of all data you upload to or create within the Service. We process your data on your behalf to provide the Service. You can export your data at any time, and upon account closure, we will assist with data export as described in our Privacy Policy.

8. Intellectual Property

The Service, including its design, features and underlying software, is the intellectual property of NovaHQ. You retain ownership of the content and data you create within the Service.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates or emergencies. We are not liable for any downtime or data loss resulting from circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by Australian law, NovaHQ is not liable for any indirect, incidental, special or consequential damages arising from your use of the Service. Our total liability is limited to the amount you have paid in the 12 months preceding the claim.

11. Termination

You may cancel your account at any time. We may suspend or terminate your account if you breach these Terms or if your account remains inactive for an extended period. Upon termination, your data will be retained for a reasonable period then deleted or anonymised.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or the Service will be resolved in accordance with Australian law.

14. AI-Generated Content

NovaHQ uses AI to assist with drafting quotes, generating pricing recommendations, preparing business insights and other content. All AI-generated drafts, recommendations and insights are suggestions only and must be reviewed by a qualified user before use.

Users are solely responsible for verifying the accuracy, completeness and suitability of AI-generated content before acting on it, sending it to customers, or relying on it for business decisions. NovaHQ is not liable for decisions made based on unreviewed AI-generated content.
